Commercial Counsel
Chevron Phillips Chemical is seeking Commercial Counsel in support of the petrochemicals business unit in its Commercial organization. This position, based in The Woodlands, Texas headquarters, will report directly to the Assistant General Counsel – Petrochemicals, Specialties, Europe and Saudi Arabia. CPChem Legal & Public Affairs is comprised of approximately 65 professionals responsible for managing legal, communications, and government affairs activities across CPChem’s global operations.
Responsibilities
- Acts as primary commercial legal advisor for the petrochemicals business units’ management and employees on domestic and international transactions and other commercially strategic matters
- Drafts, negotiates, and advises on commercial agreements for assigned business units
- Provides guidance with respect to key compliance topics, including but not limited to the competition laws, and on legal issues unique to sales of the assigned products
- Reviews and provides counsel on informational materials produced by assigned product lines as well as product line inquiries received from customers and other external stakeholders
- Advises on existing contracts, including in connection with disputes and force majeure events, in collaboration with the Dispute Resolution team, Public Affairs, and other relevant stakeholders
- Develops and implements legal and compliance training programs for assigned business units
Professional Qualifications
- Law degree from a nationally accredited law school, with strong academic performance
- Admission to practice before a U.S. state bar, preferably Texas (Note: Admission to State Bar of Texas will be required in any event after reasonable period of time)
- At least five (5) years of relevant experience in a corporate legal department or in private practice
- Demonstrated experience with handling a broad range of commercial legal matters and issues, including demonstrated ability in timely and effectively working with cross-functional teams in pursuit of commercial transactions and maintaining awareness of, and communicating about, current trends in commercial contracting best practices
- Literate in relevant compliance topics, including antitrust, anticorruption, and internal controls
- Demonstrated experience advising management-level personnel on complex commercial matters and prudent legal practices
- Able to apply traditional commercial principles and risk-based analysis in order to effectively advise and communicate on and implement sound contracting practices
- Highly effective at distilling and explaining complex commercial issues to personnel at a variety of levels within the organization
- Proven ability to manage third-party service providers, including direct management of outside counsel
Preferred Qualifications
- Proficient in drafting and negotiating natural gas liquids, commodity chemicals or similar commercial agreements
- Experience with pipeline and terminalling transactions and regulatory issues
- Project management and/or contract management systems skills and experience
